These Terms of Service ("Terms") govern your access to and use of the ReliaTXT platform ("Service"), operated by Reliable Roots Locating, LLC ("Company," "we," "us," or "our"). By creating an account, accessing, or using ReliaTXT, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. What ReliaTXT Is (and Is Not)

ReliaTXT is a field documentation and communication platform. It provides tools for ticket management, GPS-tagged photo capture, AI-powered documentation auditing, messaging, task management, and evidence packaging.

ReliaTXT is not insurance. We provide documentation tools that may help support your position in the event of a dispute or damage claim. We do not guarantee any particular outcome in any legal, regulatory, or contractual proceeding. The presence of documentation created through ReliaTXT does not constitute legal proof, certified evidence, or professional liability coverage.

We provide assurance, not insurance. The quality and completeness of your documentation depends entirely on how your team uses the platform. ReliaTXT is a tool. The responsibility for using it correctly lies with you.

2. User Responsibilities

By using ReliaTXT, you acknowledge and agree that:

All liability for field work, locate accuracy, damage prevention, and regulatory compliance lies with you and your organization.
You are responsible for verifying the accuracy and completeness of all documentation created through the platform, including but not limited to photos, ticket data, status updates, messages, and evidence packages.
You are responsible for verifying that communications (messages, notifications, emails) were successfully sent and received. ReliaTXT does not guarantee message delivery.
You are responsible for verifying that photos were successfully uploaded and synced. The platform includes offline queuing, but you must confirm that queued items have synced before relying on their availability.
GPS data, AI audit flags, and automated systems are tools to assist your work. They are not substitutes for professional judgment, training, or industry-standard practices.
You will not use the Service for any unlawful purpose or in violation of any applicable local, state, or federal law or regulation.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

Organization administrators are responsible for managing user access within their organization, including adding, removing, and configuring user permissions. We are not responsible for actions taken by users within your organization.

We reserve the right to suspend or terminate accounts that violate these Terms, are used for fraudulent purposes, or pose a security risk to the platform or other users.

4. Subscription and Billing

ReliaTXT is offered on a per-user, per-month subscription basis with a minimum user requirement per organization. Pricing is as published on our website or as agreed in writing.

Subscriptions are billed monthly. You agree to pay all fees associated with your subscription. Failure to pay may result in suspension or termination of access.

Free trials are offered at our discretion. Trial accounts may be limited in functionality or duration. At the end of a trial period, continued access requires an active paid subscription.

5. Data and Content

You retain ownership of all content you create or upload through ReliaTXT, including photos, messages, documents, and ticket data ("Your Content").

By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you. We will not sell, share, or use Your Content for purposes unrelated to providing the Service, except as required by law.

You are responsible for maintaining your own backups of critical data. While we take reasonable measures to protect data integrity, we do not guarantee against data loss.

6. AI Features

ReliaTXT includes AI-powered features, including but not limited to documentation auditing (ReliaAI), photo analysis, and automated flag generation. These features are provided as decision-support tools.

AI-generated flags, suggestions, and analyses may contain errors. They are advisory in nature and should always be verified by qualified personnel before being relied upon for any operational, legal, or business decision.

Your responses to AI-generated flags may be used to improve the accuracy of the system over time. This training data is scoped to your organization and is not shared with other organizations without your explicit consent.

7. GPS and Location Data

ReliaTXT captures and processes GPS location data from user devices for the purpose of photo geotagging, polygon matching, activity tracking, and timekeeping verification.

GPS accuracy varies by device, conditions, and environment. We do not guarantee the accuracy of GPS coordinates captured by the platform. Location data should be independently verified when used for critical purposes such as damage claims or legal proceedings.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, server issues, or circumstances beyond our control.

The offline functionality of the platform is designed to allow continued use during connectivity interruptions, but data synchronization depends on eventual connectivity. We are not responsible for data that fails to sync due to extended offline periods, device issues, or user error.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RELIABLE ROOTS LOCATING, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Reliable Roots Locating, LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

Your use of the Service
Your violation of these Terms
Your violation of any applicable law or regulation
Any content you create, upload, or transmit through the Service
Any damage claim, dispute, or legal proceeding in which documentation from the Service is used or relied upon

11. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Franklin County, Kansas.
